Terms of Use and License – Audio4Radio.com

(part of Radiojingle.nl – The Netherlands)

1. Definitions

In these terms, the following definitions apply:

  • The Company: Radiojingle.nl, trading under the name Audio4Radio.com, established in the Netherlands.
  • The Website: the online platform www.audio4radio.com, including all subdomains.
  • User: any natural person or legal entity who has registered and/or makes use of The Website.
  • Works: all audio files, music, jingles, effects, compositions, recordings, and other audio content made available through The Website.

2. Applicability

These terms apply to any use of The Website and to all services, licenses, and materials provided by The Company. By registering, purchasing, or using the service, the User agrees to these terms.


3. License Grant

No sale, but license

  • The Works offered through The Website are licensed to you, not sold.
  • The license is non-exclusive, non-transferable, and applies to a single user (one natural person or legal entity).

Ownership

  • The Company retains full ownership of all Works.
  • Any music or voice-over excerpts within the material remain the copyright property of their original rights holders.
  • No full songs are included in the Works.

Buy-out productions

  • Works produced entirely by The Company, without the use of existing artists or recordings made by third parties, are provided as buy-out.
  • This means no additional copyright or neighboring rights fees are owed to third parties for these specific Works.

Use of artist material

  • If Works contain (in part) material from existing artists or other rights holders, the client is solely responsible for arranging and paying any rights, fees, or licenses required in the country of use.

Permitted use

  • You may use the licensed Works in productions for your own radio station or media project (FM, AM, DAB, or online) at no extra cost, provided that the used elements are part of your own production.
  • Non-watermarked files may only be broadcast if they include your own station ID or branding.

Prohibited actions
Without prior written consent, you may not:

  • Sell, rent, lease, sublicense, lend, upload, share, post, transmit, or transfer Works, in whole or in part, to third parties;
  • Use Works in competing products or services;
  • Publish Works in their original form without integration into a production.

Other provisions

  • In the event of a breach of this license, the rights holder may take immediate legal action.
  • All rights not expressly granted remain reserved by The Company.

4. Performing Rights

  • This license does not include performing rights as defined in Dutch copyright law.
  • Performing rights are the royalties to which composers, lyricists, and publishers are entitled when music is publicly performed.
  • In the Netherlands, these rights are managed by Buma/Stemra (composition and lyrics) and Sena (neighboring rights).
  • If you use music in productions that are subject to reporting obligations, you must report this use to the relevant rights organization in your country.

5. No Returns

  • Downloaded audio files cannot be returned.
  • No refunds or exchanges are offered, as delivery takes place upon download and reuse cannot be prevented.
  • In exceptional cases, The Company may, at its sole discretion, apply a goodwill arrangement.

6. Access and Security

  • Access to The Website is granted after registration and approval by The Company.
  • Your username and password are strictly personal and may not be shared.
  • Misuse of login credentials may result in immediate termination of access without refund.

7. Liability and Indemnity

  • The Company is not liable for indirect damages, consequential damages, or loss of profits.
  • The User indemnifies The Company against any claims from third parties arising from use in violation of these terms or the law.

8. Termination

  • The Company may terminate the license and access immediately in case of a breach of these terms.
  • Upon termination, the User must immediately remove all Works from their systems, storage, and archives.

9. Governing Law

These terms are governed exclusively by Dutch law. Any disputes will be submitted to the competent court in the district where The Company is established.
