Gebruiks- en Licentievoorwaarden – Audio4Radio.com

(onderdeel van Radiojingle.nl – Nederland)

1. Definities

In deze voorwaarden wordt verstaan onder:

• Het Bedrijf: Radiojingle.nl, handelend onder de naam Audio4Radio.com, gevestigd in Nederland.
• De Website: de online omgeving www.audio4radio.com, inclusief alle subdomeinen.
• Gebruiker: iedere natuurlijke persoon of rechtspersoon die zich heeft geregistreerd en/of gebruik maakt van De Website.
• Werken: alle audiobestanden, muziek, jingles, effecten, composities, opnames en andere geluidscontent die via De Website beschikbaar worden gesteld.

2. Toepasselijkheid

Deze voorwaarden zijn van toepassing op elk gebruik van De Website en op alle door Het Bedrijf geleverde diensten, licenties en materialen. Door registratie, aankoop of gebruik verklaart Gebruiker zich akkoord met deze voorwaarden.

3. Licentieverlening

1. Geen verkoop maar licentie
   • De via De Website aangeboden Werken worden aan u gelicentieerd, niet verkocht.
   • De licentie is niet-exclusief, niet-overdraagbaar en geldt voor één gebruiker (één natuurlijke of rechtspersoon).
2. Eigendom
   • Het Bedrijf behoudt volledig eigendom over alle Werken.
   • Eventuele muziek- of voice-overfragmenten in het materiaal blijven auteursrechtelijk eigendom van hun oorspronkelijke rechthebbenden.
   • Er worden geen volledige nummers in de Werken geleverd.
3. Buy-out producties
   • Werken die volledig door Het Bedrijf zijn geproduceerd, zonder gebruik van bestaande artiesten of door derden uitgevoerde opnames, worden geleverd als buy-out.
   • Dit betekent dat er voor deze specifieke Werken geen aanvullende auteurs- of naburige rechten aan derden verschuldigd zijn.
4. Gebruik met artiestenmateriaal
   • Indien Werken (gedeeltelijk) materiaal bevatten van bestaande artiesten of andere rechthebbenden, blijft de klant altijd zelf verantwoordelijk voor het regelen en betalen van eventuele rechten, vergoedingen of licenties in het land van gebruik.
5. Toegestaan gebruik
   • U mag de gelicentieerde Werken gebruiken in producties voor uw eigen radiozender of mediaproject (FM, AM, DAB of online) zonder extra kosten, mits de gebruikte elementen onderdeel zijn van een eigen productie.
   • Niet-watergemerkte bestanden mogen alleen worden uitgezonden indien zij zijn voorzien van uw eigen stations-ID of branding.
6. Verboden handelingen
   Het is zonder voorafgaande schriftelijke toestemming verboden om:
   • Werken geheel of gedeeltelijk door te verkopen, verhuren, leasen, in sublicentie te geven, uit te lenen, uploaden, delen, posten, verzenden of overdragen aan derden;
   • Werken te gebruiken in concurrerende producten of diensten;
   • De Werken te publiceren in hun oorspronkelijke vorm, zonder integratie in een productie.
7. Overige bepalingen
   • Bij inbreuk op deze licentie kan de rechthebbende direct juridische stappen ondernemen.
   • Alle rechten die niet uitdrukkelijk zijn verleend, blijven voorbehouden aan Het Bedrijf.

4. Performing Rights

• Deze licentie omvat geen uitvoeringsrechten (“performing rights”) zoals gedefinieerd in de Auteurswet.
• Uitvoeringsrechten zijn de vergoedingen waarop componisten, tekstschrijvers en uitgevers recht hebben bij het openbaar maken van muziek.
• In Nederland worden deze rechten beheerd door Buma/Stemra (compositie en tekst) en Sena (naburige rechten).
• Indien u muziek gebruikt in producties die onder documentatieplicht vallen, dient u deze te rapporteren aan de relevante rechtenorganisatie in uw land.

5. Geen teruggave

• Gedownloade audiobestanden kunnen niet worden geretourneerd.
• Er worden geen terugbetalingen of omruilingen aangeboden, aangezien levering plaatsvindt op het moment van download en hergebruik niet kan worden uitgesloten.
• In uitzonderlijke gevallen kan Het Bedrijf naar eigen inzicht een coulanceregeling toepassen.

6. Toegang en Beveiliging

• Toegang tot De Website wordt verleend na registratie en goedkeuring door Het Bedrijf.
• Gebruikersnaam en wachtwoord zijn strikt persoonlijk en mogen niet worden gedeeld.
• Misbruik van inloggegevens kan leiden tot onmiddellijke beëindiging van de toegang zonder restitutie.

7. Aansprakelijkheid en Vrijwaring

• Het Bedrijf is niet aansprakelijk voor indirecte schade, gevolgschade of gederfde winst.
• Gebruiker vrijwaart Het Bedrijf voor aanspraken van derden voortvloeiend uit gebruik in strijd met deze voorwaarden of de wet.

8. Beëindiging

• Het Bedrijf kan de licentie en toegang onmiddellijk beëindigen bij overtreding van deze voorwaarden.
• Na beëindiging dient de Gebruiker alle Werken direct te verwijderen uit eigen systemen, opslag en archieven.

9. Toepasselijk Recht

Op deze voorwaarden is uitsluitend Nederlands recht van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement waar Het Bedrijf is gevestigd.

1. Definitions

In these terms, the following definitions apply:

• The Company: Radiojingle.nl, trading under the name Audio4Radio.com, established in the Netherlands.
• The Website: the online platform www.audio4radio.com, including all subdomains.
• User: any natural person or legal entity who has registered and/or makes use of The Website.
• Works: all audio files, music, jingles, effects, compositions, recordings, and other audio content made available through The Website.

2. Applicability

These terms apply to any use of The Website and to all services, licenses, and materials provided by The Company. By registering, purchasing, or using the service, the User agrees to these terms.

3. License Grant

No sale, but license

• The Works offered through The Website are licensed to you, not sold.
• The license is non-exclusive, non-transferable, and applies to a single user (one natural person or legal entity).

Ownership

• The Company retains full ownership of all Works.
• Any music or voice-over excerpts within the material remain the copyright property of their original rights holders.
• No full songs are included in the Works.

Buy-out productions

• Works produced entirely by The Company, without the use of existing artists or recordings made by third parties, are provided as buy-out.
• This means no additional copyright or neighboring rights fees are owed to third parties for these specific Works.

Use of artist material

• If Works contain (in part) material from existing artists or other rights holders, the client is solely responsible for arranging and paying any rights, fees, or licenses required in the country of use.

Permitted use

• You may use the licensed Works in productions for your own radio station or media project (FM, AM, DAB, or online) at no extra cost, provided that the used elements are part of your own production.
• Non-watermarked files may only be broadcast if they include your own station ID or branding.

Prohibited actions
Without prior written consent, you may not:

• Sell, rent, lease, sublicense, lend, upload, share, post, transmit, or transfer Works, in whole or in part, to third parties;
• Use Works in competing products or services;
• Publish Works in their original form without integration into a production.

Other provisions

• In the event of a breach of this license, the rights holder may take immediate legal action.
• All rights not expressly granted remain reserved by The Company.

4. Performing Rights

• This license does not include performing rights as defined in Dutch copyright law.
• Performing rights are the royalties to which composers, lyricists, and publishers are entitled when music is publicly performed.
• In the Netherlands, these rights are managed by Buma/Stemra (composition and lyrics) and Sena (neighboring rights).
• If you use music in productions that are subject to reporting obligations, you must report this use to the relevant rights organization in your country.

5. No Returns

• Downloaded audio files cannot be returned.
• No refunds or exchanges are offered, as delivery takes place upon download and reuse cannot be prevented.
• In exceptional cases, The Company may, at its sole discretion, apply a goodwill arrangement.

6. Access and Security

• Access to The Website is granted after registration and approval by The Company.
• Your username and password are strictly personal and may not be shared.
• Misuse of login credentials may result in immediate termination of access without refund.

7. Liability and Indemnity

• The Company is not liable for indirect damages, consequential damages, or loss of profits.
• The User indemnifies The Company against any claims from third parties arising from use in violation of these terms or the law.

8. Termination

• The Company may terminate the license and access immediately in case of a breach of these terms.
• Upon termination, the User must immediately remove all Works from their systems, storage, and archives.

9. Governing Law

These terms are governed exclusively by Dutch law. Any disputes will be submitted to the competent court in the district where The Company is established.
